Terms of Service & End User License Agreement

1. Agreement to Terms

These Terms of Service and End User License Agreement ("Agreement") constitute a legally binding contract between you ("User," "you," or "your") and Ezyful Pty Ltd ("Company," "we," "our," or "us") governing your download, installation, and use of the Daily Business Idea mobile application and website (collectively, the "App" or "Service").

By tapping "Get," downloading, installing, or otherwise using the App, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not download or use the App.

You must be at least 13 years of age to use this App. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to this Agreement on your behalf.

2. License Grant

Subject to your compliance with this Agreement, Ezyful grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on any Apple-branded or Android device that you own or control, solely for your personal, non-commercial purposes as permitted by the App Store usage rules or Google Play Developer Distribution Agreement, as applicable.

You may not sublicense, sell, resell, transfer, assign, or otherwise commercially exploit or make available to any third party the App or any content therein. You may not reverse-engineer, decompile, disassemble, or attempt to derive source code from the App.

3. Description of Service

Daily Business Idea is a mobile-first application that delivers personalized business ideas daily using artificial intelligence and behavioral learning. Our Service includes:

• •Daily delivery of curated, AI-generated business ideas
• •AI-powered personalization based on your profile and preferences
• •Behavioral learning to improve recommendation quality over time
• •Access to a growing database of business ideas across diverse categories
• •Premium features including on-demand idea generation, idea variations, unlimited saves, PDF export, and priority AI generation (requires active subscription)

4. Subscriptions & In-App Purchases

4.1 Subscription Plans

Daily Business Idea offers the following auto-renewing subscription plans that unlock Premium features:

Prices are in USD and may vary by region. The price displayed in the App at the time of purchase is the price you will be charged.

4.2 Free Trial

New subscribers may receive a 7-day free trial for eligible subscription plans. Free trials are available only to new subscribers who have not previously subscribed to any Daily Business Idea Premium plan. If you are not eligible for a free trial, you will be charged immediately upon subscribing.

Any unused portion of a free trial period will be forfeited immediately when you purchase a subscription. Your payment method will be charged for the full subscription price at the end of the free trial unless you cancel at least 24 hours before the trial ends.

4.3 Billing & Payment

Payment will be charged to your Apple ID account (App Store) or Google Play account at confirmation of purchase or, if applicable, at the end of your free trial period. Your subscription automatically renews at the then-current price unless auto-renewal is turned off. Your account will be charged for renewal within 24 hours prior to the end of the current billing period.

4.4 Cancellation

You may cancel your subscription or free trial at any time by managing your subscription settings in your Apple ID account settings (iOS) or Google Play account settings (Android). Cancellation must be made at least 24 hours before the end of the current billing period to avoid being charged for the next period.

Cancellation takes effect at the end of the current billing period. You will retain access to Premium features until the end of the period for which you have already paid.

4.5 Price Changes

We may change subscription prices at any time. We will notify you of any price changes in advance. If you do not accept the new price, you may cancel your subscription before the next renewal date. Continued use of the subscription after a price change constitutes acceptance of the new price.

4.6 Refunds

All purchases are final. We do not offer refunds except as required by applicable law. For refund requests on iOS, contact Apple Support at reportaproblem.apple.com. For refund requests on Android, contact Google Play support.

4.7 Restore Purchases

If you have previously subscribed and need to restore access on a new device, use the "Restore Purchases" option within the App. You must be signed in to the same Apple ID or Google account used for the original purchase.

4.8 Premium Features

An active Premium subscription unlocks the following features in addition to all free features:

• •Generate business ideas on-demand at any time
• •Create unlimited variations of any idea
• •Save unlimited ideas to your personal library
• •Export ideas to PDF
• •Priority AI generation queue

Free accounts are limited to saving up to 5 ideas and receive 1 AI-generated idea per day. Feature availability is subject to change with reasonable notice.

5. User Accounts

5.1 Account Creation

To use certain features of our Service, you must register for an account. When creating an account, you agree to:

• •Provide accurate, current, and complete information
• •Maintain and update your information to keep it accurate
• •Keep your password secure and confidential
• •Accept responsibility for all activities under your account
• •Notify us immediately of any unauthorized use of your account

5.2 Account Termination

We reserve the right to suspend or terminate your account if you violate this Agreement or engage in activities that harm the Service or other users. Upon termination, your license to use the App ceases immediately. You may delete your account at any time through the App settings; deletion does not automatically cancel an active subscription.

6. Acceptable Use

You agree not to:

• •Use the Service for any illegal or unauthorized purpose
• •Violate any laws in your jurisdiction
• •Transmit any malicious code, viruses, or harmful data
• •Attempt to gain unauthorized access to our systems
• •Interfere with or disrupt the Service or servers
• •Scrape, copy, or reverse-engineer any part of the Service
• •Use automated systems to access the Service without permission
• •Resell or commercially exploit any content provided through the Service

7. Intellectual Property

7.1 Our Content

The App and its original content (excluding user-generated content), features, and functionality are owned by Ezyful and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Business Ideas

Business ideas presented through the Service are provided for inspirational purposes only. While we strive for originality, we cannot guarantee that ideas are unique or have not been independently conceived elsewhere. You are free to pursue any idea presented, but we recommend conducting your own research and due diligence before committing resources.

7.3 Your Content

By submitting feedback, suggestions, or other content to us, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and distribute such content for the purpose of improving our Service.

8. Disclaimers

9. Limitation of Liability

To the maximum extent permitted by applicable law, Ezyful shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• •Your use or inability to use the App
• •Any unauthorized access to or use of our servers or personal data
• •Any bugs, viruses, or harmful code transmitted through the App
• •Any errors or omissions in content or ideas
• •Any interruption or cessation of transmission to or from the App

Our total liability to you for all claims arising from or relating to this Agreement or the App shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ezyful and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the App, your violation of this Agreement, or your violation of any rights of another party.

11. Third-Party App Store Provisions

11.1 Apple App Store

If you download the App from the Apple App Store, the following additional terms apply:

• •This Agreement is between you and Ezyful only, not with Apple Inc. ("Apple"). Apple is not responsible for the App and its content.
• •Apple has no obligation to provide any maintenance or support services for the App.
• •In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App.
• •Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
• •In the event of any third-party claim that the App or your possession and use of the App infringes a third party's intellectual property rights, Ezyful (not Apple) will be responsible for the investigation, defense, settlement and discharge of any such claim.
• •You must comply with applicable third-party terms of service when using the App (e.g., you must not be in violation of your wireless data service agreement when you use the App).
• •Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.
• •By using the App, you represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

11.2 Maintenance and Support

Ezyful is solely responsible for providing maintenance and support for the App, as described in this Agreement or as required under applicable law. Apple has no obligation to provide maintenance or support services for the App.

12. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the App, you consent to the collection and use of your information as described in our Privacy Policy.

13. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will provide notice of material changes by posting the updated Agreement on our website and, where practicable, within the App, and by updating the "Last updated" date above. Your continued use of the App after changes become effective constitutes acceptance of the modified Agreement. If you do not agree to the changes, you must stop using the App.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Ezyful operates, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the competent courts of that jurisdiction.

15. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of this Agreement will otherwise remain in full force and effect.

16. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Ezyful regarding the App and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties with respect to the App.
